Shop–Brand Verification Policy

This policy explains how Vyete verifies that a Shop is authorised by a Brand to list and sell the brand's products, and the obligations that flow from that verification.


1. Why Verification Exists

Vyete's commerce model is built on trust. Consumers must be confident that products sold on the Platform are genuine and that the shops selling them meet the quality standards set by the brand. Brand verification protects consumers, protects brands from unauthorised distribution, and maintains platform integrity.

2. How Verification Works

2.1 Brand-Initiated Verification

Brands on the Vyete platform maintain an Authorised Reseller Registry. A shop becomes verified for a brand only when:

  1. The Brand grants authorisation in the Brand Dashboard, naming the specific shop.
  2. The Shop accepts the authorisation request from the Brand in the Shop Dashboard.
  3. Vyete validates both actions and activates the brand–shop link.

All three steps must complete before any products from that brand can be listed by the shop.

2.2 Shop-Initiated Verification

A shop may also request authorisation from a brand:

  1. Submit an authorisation request via Shop Dashboard → Brands → Request Authorisation.
  2. The brand receives a notification and reviews the request.
  3. The brand may approve, reject, or request additional information (e.g., business licences, premises inspection).
  4. Approved requests follow the three-step activation in Section 2.1.

2.3 Third-Party Verification

For brands that require it, Vyete facilitates third-party audits of shop premises and inventory to verify compliance with the brand's distribution standards.

3. Documentation Requirements

Vyete and the relevant brand may require the following documents:

Documents submitted for verification are retained by Vyete for the duration of the brand–shop relationship plus 3 years.

4. Scope of Authorisation

4.1 Brand-Specific

Authorisation is granted on a brand-by-brand basis. Authorisation by Brand A does not confer any right to list products from Brand B, even if both brands share a parent company.

4.2 Product-Level Restrictions

A brand may restrict authorisation to specific product lines or SKUs. Shops may only list the specific items included in their authorisation.

4.3 Geographic Restrictions

Authorisation may be limited to specific territories. Shops must not fulfil orders outside their authorised distribution territory without brand approval.

4.4 Minimum Order and Stocking Requirements

Some brands set minimum purchase volumes or minimum display requirements as a condition of authorisation. Failure to maintain these may lead to revocation.

5. Ongoing Compliance

5.1 Annual Re-verification

Brand–shop authorisations must be re-confirmed annually. Vyete will notify shops 60 days before an authorisation expiry date. Failure to re-verify results in automatic de-listing of the brand's products from the shop.

5.2 Brand Audits

Brands retain the right to audit their authorised shops at any time, with reasonable notice. Shops must cooperate with brand audit requests.

5.3 Compliance Monitoring

Vyete monitors listings for compliance with brand standards including:

  • Price floor compliance (MAP policies).
  • Accurate product imagery and descriptions matching the brand's approved assets.
  • Absence of counterfeit stock.

6. Revocation of Authorisation

6.1 By the Brand

A brand may revoke a shop's authorisation at any time via the Brand Dashboard. Vyete will automatically de-list all affected products within 24 hours of revocation.

6.2 By Vyete

Vyete may revoke a brand–shop link where:

  • The shop is found to be listing counterfeit goods.
  • The shop misrepresents the brand.
  • The shop fails the annual re-verification.
  • A court order or regulatory authority requires it.

6.3 Effect of Revocation

Revocation takes effect immediately for new listings. Orders already confirmed will be fulfilled normally unless the brand specifically instructs otherwise.

7. Consequences of Unauthorised Listing

Listing products without valid brand authorisation is a material breach of the Shop Terms and Conditions and will result in:

  1. Immediate removal of the infringing listings.
  2. Possible account suspension pending investigation.
  3. Recovery of any revenue earned from unauthorised listings.
  4. Potential legal action by the brand for trademark or IP infringement.

8. Brand Dispute Resolution

Where a shop disputes a revocation or denial of authorisation by a brand, the shop may raise the matter with Vyete via Shop Dashboard → Disputes → Brand Dispute. Vyete will facilitate a mediation process but cannot override a brand's commercial decision to revoke authorisation.

9. Updates to This Policy

Vyete may update this policy as platform processes evolve. Material changes will be communicated to shop operators with at least 30 days' notice.
