Brand Terms and Conditions

These Brand Terms and Conditions ("Brand Terms") govern the relationship between Vyete Technologies Ltd ("Vyete") and any brand registering on the Vyete platform ("Brand", "you"). By completing brand registration you accept these Brand Terms.
1. Brand Registration
1.1 Eligibility
To register as a Brand on Vyete you must:
- Be a legally registered business that manufactures, licenses, or owns the intellectual property rights to the products you intend to list.
- Hold all necessary regulatory approvals for products you list in each applicable jurisdiction.
- Agree to these Brand Terms and all referenced policies.
1.2 Application Process
Brand registration requires:
- Business name, registered address, and company registration number.
- Trademark registration certificates or evidence of brand ownership.
- Details of your product catalogue (product categories, target markets).
- Designated brand administrator contact.
Vyete will complete its review within 10 business days and communicate approval or rejection with reasons.
1.3 Brand Identity Verification
Vyete may request additional identity or ownership verification. Submitting false or misleading documentation is grounds for immediate rejection or termination.
2. Role on the Platform
2.1 Catalogue Management
As a registered Brand you may:
- Publish and maintain a master product catalogue that forms the basis for shop listings.
- Set product specifications, approved imagery, pricing guidance (including MAP), and listing standards.
- Update product information; all authorised shops will receive update notifications.
2.2 Shop Authorisation
You retain exclusive control over which shops may carry your products on Vyete. You must:
- Maintain an accurate Authorised Reseller Registry in the Brand Dashboard.
- Respond to shop authorisation requests within 10 business days.
- Revoke authorisation promptly when a shop no longer meets your distribution standards.
2.3 Direct Distribution
Where you operate a direct-to-consumer channel on Vyete (a brand-owned shop), it is subject to both these Brand Terms and the Shop Terms and Conditions.
3. Brand Distribution to Shops
3.1 Dispatch Standards
When supplying stock to authorised shops through the Vyete network:
- Products must be genuine, undamaged, and match the specifications in the master catalogue.
- Products must comply with all applicable labelling, safety, and regulatory requirements.
- You must dispatch stock within the agreed lead times stated in your distribution agreement with each shop.
3.2 Courier Integration
Vyete facilitates brand-to-shop distribution through its Courier Programme. Dispatch instructions must be submitted via the Brand Dashboard. Couriers will collect from your nominated warehouse or logistics hub.
3.3 Documentation
Dispatch must be accompanied by a valid delivery note, batch/lot numbers where applicable, and any regulatory documentation required for the product category.
4. Minimum Advertised Price (MAP) Policy
4.1 Setting a MAP
You may set a Minimum Advertised Price for any product in your catalogue. MAP values are entered in the Brand Dashboard and automatically enforced on all authorised shop listings.
4.2 Enforcement
Vyete will monitor listed prices and notify you of potential MAP violations. You may then:
- Issue a formal notice to the shop requiring price correction.
- Revoke the shop's authorisation if the violation is not remedied within 48 hours.
4.3 Exceptions
MAP does not apply to promotions conducted jointly with Vyete or to clearance of genuinely end-of-line stock, provided Vyete is notified in advance.
5. Intellectual Property and Brand Assets
5.1 Licence to Vyete
By uploading brand assets (logos, product images, copy, videos) to the Platform you grant Vyete a non-exclusive, royalty-free licence to display and reproduce those assets for the purpose of operating the Platform, including displaying them on authorised shop listings.
5.2 Licence to Authorised Shops
Vyete facilitates a sub-licence of your approved assets to authorised shops solely for listing your products. Shops must use assets in accordance with your brand guidelines.
5.3 Ownership
All brand assets remain your property. You may revoke the licence at any time by removing assets from the Brand Dashboard, provided any existing orders using those assets are fulfilled.
6. Platform Fees
6.1 Brand Registration Fee
Vyete charges an annual brand registration fee, details of which are in the Brand Dashboard. The fee covers profile maintenance, catalogue hosting, and brand verification services.
6.2 Promotional Placement
Optional paid promotional placements (featured listing, homepage banner, campaign slots) are available at rates published in the Brand Dashboard. Promotional content must comply with the Brand Advertising Guidelines.
7. Brand Analytics
Vyete provides aggregated sales data, review summaries, and distribution analytics via the Brand Dashboard. Data is refreshed daily. Raw customer data is not shared in identifiable form.
8. Compliance and Recalls
8.1 Regulatory Compliance
You are responsible for ensuring all products you list comply with applicable consumer safety regulations, labelling laws, and import/export restrictions for each jurisdiction.
8.2 Product Recall
In the event of a product recall:
- Notify Vyete immediately at [email protected] with the recall scope and reason.
- Vyete will de-list affected products within 2 hours of notification.
- Vyete will assist in identifying affected orders and coordinating returns.
- You are responsible for all costs associated with the recall.
9. Term and Termination
9.1 Term
These Brand Terms continue indefinitely from acceptance until terminated.
9.2 Termination for Convenience
Either party may terminate with 60 days' written notice.
9.3 Immediate Termination
Vyete may terminate immediately if you:
- Submit false registration information.
- List products you do not own or are not authorised to distribute.
- Fail to comply with a product recall obligation.
- Engage in fraudulent activity on the Platform.
9.4 Effect of Termination
On termination, all shop authorisations granted by you will be revoked. Outstanding orders will be fulfilled unless specific safety concerns prevent this.
10. Governing Law
These Brand Terms are governed by the laws of Vyete's jurisdiction of registration.
