Shop Terms and Conditions

These Shop Terms and Conditions ("Shop Terms") govern the relationship between Vyete Technologies Ltd ("Vyete") and any business or individual registering as a Shop on the Vyete platform ("Shop Operator", "you"). By completing the shop registration process you accept these Shop Terms.


1. Eligibility and Registration

1.1 Eligibility

To register as a Shop on Vyete you must:

  • Be a legally registered business entity or a sole trader with a valid business licence.
  • Have obtained brand authorisation for every brand whose products you intend to list (see the Brand Verification Policy).
  • Operate from a jurisdiction in which Vyete is available.
  • Agree to these Shop Terms and all referenced policies.

1.2 Registration Process

Registration requires submission of:

  • Business name, registration number, and registered address.
  • Primary contact name, email, and phone number.
  • Bank account details for settlement payments.
  • Supporting documents for brand authorisation (at least one brand at registration).

Vyete will review your application within 5 business days and notify you of approval or rejection. Rejection reasons will be provided where possible.

1.3 Shop Identity

Your shop name, logo, and description must be accurate and must not impersonate another business. Vyete reserves the right to require amendments to any shop name or branding that is misleading or infringes third-party rights.

2. Brand Verification Obligation

You may only list products that you are authorised to sell by the relevant brand. All listed products must pass Vyete's brand verification process before going live. Full details are in the Brand Verification Policy. Listing unauthorised products is grounds for immediate suspension.

3. Product Listings

3.1 Accuracy

All product listings must be accurate, complete, and up to date. This includes:

  • Product title, description, and specifications.
  • High-quality images representing the actual product.
  • Correct categorisation and brand attribution.
  • Accurate pricing, stock levels, and variants.

3.2 Prohibited Listings

You may not list:

  • Counterfeit, replica, or unauthorised goods.
  • Products recalled by the manufacturer or a regulatory authority.
  • Goods that are illegal to sell in the relevant jurisdiction.
  • Dangerous goods not compliant with applicable safety standards.
  • Products that infringe intellectual property rights.

3.3 Stock Management

You are responsible for keeping stock levels current. Accepting an order for an out-of-stock item without notifying the customer promptly is a violation of these Shop Terms.

4. Pricing and Fees

4.1 Pricing Authority

You set your own retail prices. Vyete may display recommended retail prices (RRP) provided by brands for reference, but you are not required to match them unless your brand agreement specifies otherwise.

4.2 No Platform Commission on Sales

Vyete does not process or hold payment for your product sales, and takes no commission on them — the Customer pays you directly. Vyete's only charges to you are platform subscription and advertising fees, per the Fee & Commission Schedule.

4.3 No Vyete Settlement

Since Vyete never receives your sale proceeds, there is no settlement cycle for Vyete to run — you already hold your proceeds at the point of sale. See the Payout & Settlement Policy for detail.

4.4 Dispute Visibility, Not a Fund Hold

Vyete holds no settlement funds of yours, so it cannot place a hold on any. An open dispute is instead a visibility record against your public profile until you (or Vyete's Trust & Safety team, on escalation) close it — see the Dispute Resolution Procedure.

5. Order Fulfilment

5.1 Acceptance

You must accept or reject an order within 2 hours of receiving it. Failure to respond will result in automatic cancellation. If the Customer already paid you directly, you must refund them in full — see Refund & Returns Obligations.

5.2 Packaging

Products must be packaged securely to prevent damage in transit. Packaging must not misrepresent the brand, product, or your shop.

5.3 Handover to Carrier

You must hand orders to a Vyete-certified carrier within the dispatch time displayed on your listing. Late dispatch without notice is a performance violation.

5.4 Dispatch Confirmation

Confirm dispatch in your Shop Dashboard when you hand an order to the carrier. This triggers the customer's delivery tracking.

6. Returns and Disputes

6.1 Return Handling

You must process valid return requests in accordance with the User Terms of Service. On receipt of a returned item, confirm the return in your dashboard within 2 business days.

6.2 Dispute Resolution

Vyete may mediate disputes between you and customers. You agree to cooperate with Vyete's dispute process and provide all relevant information within 3 business days of a request.

6.3 Non-Delivery or Misrepresentation Liability

Since the Customer pays you directly, any chargeback they initiate goes through their payment provider and you directly, not Vyete. A confirmed pattern of non-delivery or misrepresentation is recorded against your dispute rate and may result in enhanced monitoring or suspension under Section 7.

7. Performance Standards

Vyete monitors the following key performance indicators (KPIs):

Failing to meet these standards may result in reduced search visibility, temporary suspension, or account termination.

8. Intellectual Property and Branding

You may use brand logos, product imagery, and marketing materials only as expressly authorised by the relevant brand. Unauthorised use of brand assets is grounds for immediate suspension and may expose you to liability from the brand.

9. Confidentiality

Customer data shared with you through the Platform (name, address, order history) is confidential and must be used solely for order fulfilment. You must not use customer data for independent marketing or share it with third parties.

10. Tax Compliance

You are solely responsible for collecting and remitting all taxes applicable to your sales. Vyete may provide tax-reporting summaries but does not act as your tax agent.

11. Suspension and Termination

11.1 Suspension

Vyete may immediately suspend your shop if:

  • You list counterfeit or prohibited products.
  • You breach the Brand Verification Policy.
  • Your KPIs fall below minimum standards after a warning period.
  • A legal or regulatory authority requires it.

11.2 Termination

Either party may terminate this agreement with 30 days' written notice. Vyete may terminate immediately for material breach (including fraud or repeated policy violations). Termination does not affect orders already in progress.

12. Governing Law

These Shop Terms are governed by the laws of Vyete's jurisdiction of registration. Disputes not resolved amicably will be referred to the competent courts.

13. Changes to Shop Terms

Vyete will provide 30 days' notice of material changes. Continued operation of your shop after the effective date constitutes acceptance.
