Fee & Commission Schedule

Effective Date: 8 May 2026 · Version 1.0

This Fee & Commission Schedule sets out all fees payable by shops operating on the Vyete platform. It forms part of the Shop Terms & Conditions and will be updated by Vyete with at least 30 days' notice for material changes.

1. Fee Categories

Vyete charges the following types of fees to shop operators:

| Fee Type | Description | When Charged | |---|---|---| | Commission | Percentage of each completed order's net value | On order completion | | Payment Processing | Cost of payment gateway processing | On each transaction | | Listing Enhancement | Optional promoted listing and advertising fees | When activated | | Subscription | Monthly platform subscription for advanced features | Monthly in advance | | Chargeback Administration | Fee to cover dispute processing costs | Per chargeback event |

2. Commission Rates

Commission is calculated on the net order value (excluding delivery fees and applicable taxes).

2.1 Standard Commission

| Product Category | Commission Rate | |---|---| | Food & Grocery | 12% | | Fashion & Apparel | 15% | | Electronics & Appliances | 10% | | Health, Beauty & Personal Care | 14% | | Home & Living | 13% | | Sports & Fitness | 14% | | Books, Stationery & Office | 12% | | General / Uncategorised | 15% |

2.2 Volume Incentive Tiers

Shops exceeding the following monthly GMV thresholds qualify for a reduced rate in the following calendar month:

| Monthly GMV (Gross Merchandise Value) | Rate Reduction | |---|---| | Above 500,000 (local currency) | –1.0 percentage point | | Above 2,000,000 | –2.0 percentage points | | Above 10,000,000 | –3.0 percentage points (negotiated) |

Vyete will notify eligible shops of their tier status within 5 business days of month-end. The reduced rate applies for the full following calendar month regardless of that month's actual GMV.

2.3 New Shop Promotional Rate

Shops in their first 90 calendar days following approval qualify for a flat 8% commission across all categories. This promotional rate applies automatically and does not need to be requested.

3. Payment Processing Fees

Vyete uses third-party payment processors. The blended payment processing fee is:

| Payment Method | Processing Fee | |---|---| | Visa / Mastercard (domestic) | 1.8% + 0.15 local currency | | Visa / Mastercard (international) | 2.9% + 0.15 local currency | | Mobile money (M-Pesa, MTN, Airtel, etc.) | 1.5% | | Bank transfer | 0.8% (min. 0.50 local currency) | | Vyete Wallet | 0.5% |

Payment processing fees are deducted from the gross transaction amount before commission is calculated.

4. Subscription Plans

Subscription is optional. Shops on the free tier have access to standard features. Paid plans unlock enhanced capabilities:

| Plan | Monthly Fee | Features | |---|---|---| | Free | 0 | Standard listing, basic analytics, up to 100 SKUs | | Growth | 2,500 | Priority search placement, advanced analytics, up to 1,000 SKUs, promotional tools | | Pro | 8,500 | All Growth features, dedicated account manager, API access, unlimited SKUs, custom storefront | | Enterprise | Custom | All Pro features, SLA guarantees, invoiced billing, custom integrations |

Subscription fees are billed monthly in advance. Downgrading or cancelling takes effect at the end of the current billing period. No partial refunds are provided for mid-cycle changes.

5. Listing Enhancement Fees

5.1 Sponsored Products

Shops may pay for sponsored product placement on a cost-per-click (CPC) basis. Minimum CPC and daily budget minimums are set in the advertising dashboard. Charges are deducted from a pre-funded advertising credit balance.

5.2 Category Spotlights

Fixed-fee placements in category banner positions are available by request through [email protected]. Pricing varies by category and placement duration.

6. Chargeback Administration Fee

Where a customer successfully initiates a chargeback through their payment provider (rather than through Vyete's dispute process), Vyete charges an administration fee of 250 local currency units per event, in addition to the chargeback amount which is recovered from the shop's payout.

Shops may avoid this fee by resolving customer disputes through Vyete's internal process before the customer contacts their bank.

7. Fee Calculation Example

For a completed order of 1,000 (local currency) for a fashion item, paid by domestic card, on the Growth plan:

| Line | Amount | |---|---| | Gross order value | 1,000.00 | | Payment processing fee (1.8% + 0.15) | –18.15 | | Net order value | 981.85 | | Commission (15%) | –147.28 | | Shop payout (before tax) | 834.57 |

Subscription fees are charged separately and not deducted per order.

8. Fee Changes

Vyete will provide 30 calendar days' written notice before implementing any increase to standard commission rates or subscription prices. Fee reductions take effect immediately. Continued use of the platform after the notice period constitutes acceptance of the revised fees.

9. Taxes

All fees are stated exclusive of VAT or other applicable taxes. Where Vyete is required by law to charge VAT on its services, this will be added to your invoice at the applicable rate. Shops are responsible for their own tax obligations arising from their sales on the platform.

10. Disputes About Fees

Fee-related disputes must be raised within 60 calendar days of the statement date via [email protected]. Disputes raised after this period will not be considered absent exceptional circumstances.
