Modern Slavery & Human Trafficking Statement

Effective Date: 8 May 2026 · Version 1.0

This statement is published by Vyete Technologies Ltd ("Vyete") pursuant to applicable modern slavery legislation, including the UK Modern Slavery Act 2015 and equivalent legislation in jurisdictions where Vyete operates. It describes the steps Vyete has taken during the reporting year to ensure that modern slavery and human trafficking are not taking place in its business or supply chains.

1. Our Business

Vyete Technologies Ltd is a technology company operating a marketplace platform that connects consumers, shops, brands, and couriers. Vyete does not manufacture physical goods. Its primary activities are software development and operation, platform management, customer support, and commercial operations.

Vyete employs staff and engages contractors in roles spanning engineering, operations, sales, legal, and support. Its courier network comprises independent contractors and logistics companies. Vyete's shops and brands are independent businesses that operate on the platform.

2. Our Supply Chain

Vyete's supply chain comprises:

| Supplier Category | Nature of Engagement | Risk Level | |---|---|---| | Software and cloud infrastructure | Major technology vendors and cloud providers | Low | | Payment processing | Regulated financial services providers | Low | | Professional services | Legal, accounting, consulting firms | Low | | Office supplies and facilities | Local service providers | Low | | Marketing and media | Advertising and content production agencies | Low–Medium | | Logistics partners (where applicable) | Third-party courier companies | Medium | | International contractors | Freelance developers, content producers globally | Medium |

Vyete does not directly engage with raw material supply chains, manufacturing, or labour-intensive physical production. The risk of modern slavery within Vyete's direct operations and primary supply chain is assessed as low, but Vyete recognises that risks in extended supply chains and in some geographic markets require active management.

3. Our Policies

The following Vyete policies contribute to the prevention of modern slavery and human trafficking:

  • Anti-Bribery & Corruption Policy: Ensures that corruption — which can facilitate exploitation — does not occur in Vyete's business relationships.
  • Platform Acceptable Use Policy: Prohibits the use of the Vyete platform for any illegal activity, including labour trafficking and exploitation.
  • Prohibited Products Policy: Prohibits the sale of goods or services connected to human exploitation.
  • Recruitment Policy (internal): Vyete uses reputable recruitment channels, verifies the right to work of all employees, and does not engage in practices that could constitute forced labour (e.g., retention of identity documents, unjustified wage deductions).
  • Supplier Code of Conduct (provided to key suppliers): Requires suppliers to comply with all applicable labour laws and prohibits the use of forced, trafficked, or child labour.

4. Risk Assessment

Vyete conducts risk assessments on its supply chain and business operations on an annual basis. Key risk factors considered include:

  • Geographic risk: Countries or regions with higher prevalence of labour exploitation.
  • Sector risk: Industries with known modern slavery vulnerabilities.
  • Business model risk: Practices such as agency labour, subcontracting, and international remote work.

The most recent risk assessment identified the following areas for ongoing attention:

  • Independent courier contractors: Ensuring couriers are genuinely free to work for multiple platforms and are not subject to exploitative conditions by third-party fleet operators.
  • International freelance contractors: Verifying that intermediary agencies used to engage contractors comply with fair labour standards.
  • Platform shops in higher-risk markets: Monitoring for indicators that shop operators may be using exploited labour.

5. Due Diligence

Vyete's due diligence measures include:

  • Pre-contract screening of high-value suppliers using reputable background and compliance databases.
  • Contractual requirements for key suppliers to certify compliance with applicable labour laws and to notify Vyete of any known violations.
  • Annual review of courier fleet partners, including review of worker agreements to identify indicators of forced labour.
  • Training for Vyete's procurement team on modern slavery indicators and how to identify red flags in the supply chain.
  • Monitoring of news and third-party intelligence on high-risk suppliers or markets.

6. Training and Awareness

Vyete provides modern slavery awareness training to:

  • All employees in procurement, operations, and partner management roles at induction and every two years thereafter.
  • All senior managers and directors annually.
  • Couriers are provided with information on how to report suspected exploitation through the courier app.

7. Key Performance Indicators

Vyete tracks the following metrics to assess the effectiveness of its modern slavery programme:

| KPI | 2026 Target | |---|---| | Percentage of senior staff completing modern slavery training | 100% | | Percentage of high-risk suppliers assessed against Supplier Code of Conduct | 100% | | Number of modern slavery concerns reported and investigated | Track; respond to all | | Supplier contracts containing mandatory modern slavery compliance clause | 100% (new and renewed) |

Results against these KPIs are reviewed by Vyete's Board annually.

8. Reporting Concerns

Vyete encourages all employees, contractors, platform participants, and members of the public to report any concerns about modern slavery or human trafficking connected to Vyete's business or platform:

  • Employees: Via the confidential integrity reporting channel at [email protected].
  • Platform participants: Via [email protected] or the platform's general complaint form.
  • Public reporting (UK): The national Modern Slavery Helpline at 0800 0121 700 or modernslaveryhelpline.org.

Vyete will investigate all reports and cooperate fully with law enforcement.

9. Statement Approval

This statement has been approved by the Board of Directors of Vyete Technologies Ltd and is reviewed and updated annually.
