Courier Distribution Agreement

This Courier Distribution Agreement ("Agreement") governs the terms under which individuals and logistics entities ("Courier", "you") join and operate within the Vyete Courier Programme.
1. Definitions

2. Courier Eligibility and Onboarding
2.1 Individual Courier Requirements
To join the Vyete Courier Programme as an individual, you must:
- Be at least 18 years of age.
- Hold a valid government-issued photo identity document.
- Possess a valid vehicle licence appropriate for your chosen transport mode.
- Have access to a roadworthy, appropriately licensed vehicle (cycle, motorcycle, car, or van).
- Pass Vyete's background screening process (criminal record check and driving record review).
- Complete the Vyete Courier Induction Programme (online training module, approximately 2 hours).
2.2 Corporate Courier Requirements
Registered logistics companies must additionally provide:
- Company registration certificate and VAT/tax number.
- Proof of fleet insurance (see Section 8).
- List of nominated drivers with individual compliance documentation.
- Compliance with Vyete's fleet safety standards.
2.3 Onboarding Process
- Submit an application via the Vyete Courier Portal.
- Upload required documentation.
- Complete background screening (typically 3–5 business days).
- Complete the Induction Programme.
- Receive activation confirmation and access to the Courier App.
3. Services
3.1 Brand-to-Shop Distribution
Brand-to-Shop Runs involve collecting goods from a Brand's warehouse, production site, or fulfilment hub and delivering them to one or more authorised Shops. Requirements:
- Collect with a valid Consignment Note signed by the Brand dispatcher.
- Verify parcel count and condition at collection. Report discrepancies immediately via the Courier App.
- Deliver within the Service Level stated in the Run assignment.
- Obtain Shop Manager signature or digital confirmation on delivery.
3.2 Last-Mile Consumer Delivery
Last-Mile Runs involve collecting one or more consumer orders from a Shop and delivering them to the consumer's specified address. Requirements:
- Collect only against a valid digital Run ticket in the Courier App.
- Handle consignments with care; treat all parcels as fragile unless otherwise labelled.
- Deliver to the precise address on the label. Do not leave parcels at an unconfirmed alternative address without consumer consent via the App.
- Obtain consumer signature, OTP confirmation, or photographic proof of delivery (POD) as required.
- Return undeliverable parcels to the originating Shop within 24 hours.
3.3 Dual Runs
Where operationally efficient, Vyete may assign combined Brand-to-Shop and Last-Mile duties on a single run. You are not required to accept a Dual Run, but frequent declination of assigned runs may affect your performance standing.
4. Parcel Handling Standards
4.1 Care Obligations
You must:
- Handle all consignments with reasonable care to prevent damage.
- Keep parcels dry, secure, and away from extreme temperatures during transit.
- Store parcels in a locked vehicle when unattended.
- Not open, tamper with, or inspect the contents of any parcel.
4.2 Prohibited Conduct
You must not:
- Accept any cash payments from consumers or shops — all payments are processed through Vyete.
- Accept tips or gratuities in violation of the platform tip policy.
- Substitute or exchange parcels.
- Carry packages from non-Vyete sources in the same vehicle load as Vyete consignments without authorisation.
4.3 Temperature-Controlled Goods
Where a Run is designated as temperature-controlled (perishable food, pharmaceuticals), you must use approved insulated packaging and maintain the required temperature range. Non-compliance leading to spoilage results in full liability for the consignment value.
5. Performance Standards
Vyete monitors Courier performance against the following metrics:

Failing to meet minimum standards will result in a performance improvement plan. Persistent failure may result in deactivation.
6. Compensation
6.1 Run Fees
Compensation per Run is calculated based on:
- Distance (per-kilometre rate for the planned route).
- Parcel count and weight category.
- Service Level (express runs attract a premium).
- Run type (Last-Mile rates differ from Brand-to-Shop rates).
Current rates are published in the Courier App and may be updated with 14 days' notice.
6.2 Tip Policy
Consumers may leave an optional tip via the Vyete App. Tips are passed through in full to the Courier in the same weekly settlement. You may not solicit tips directly.
6.3 Settlement
Earnings are settled weekly (every Tuesday for the prior week's completed runs) by bank transfer to your nominated account. Settlements are net of any deductions for parcel damage, failed delivery penalties, and applicable taxes where Vyete is required to withhold.
6.4 Bonus Programmes
Vyete may offer performance bonuses for peak period completion, streak bonuses, and referral incentives. Bonus terms are published in the Courier App and are at Vyete's discretion.
7. Route and Assignment
7.1 Run Assignment
Runs are offered through the Courier App based on proximity, vehicle type, and availability. You accept a Run by tapping "Accept" in the App.
7.2 Route Optimisation
Vyete's App provides optimised route guidance. You are not required to follow it exactly but must complete all stops in the consignment. Deviating from the provided route in a way that causes delivery failure is a performance violation.
7.3 Cancellation After Acceptance
Cancelling a Run after acceptance but before collection is a chargeable cancellation if done more than once in a 7-day period. Emergency cancellations (vehicle breakdown, medical emergency) are not penalised when properly documented.
8. Insurance
8.1 Goods in Transit Insurance
You must hold valid Goods in Transit insurance covering:
- Minimum cover per consignment: as stated in the Courier App for each Run type.
- Coverage territory: all areas you operate in.
8.2 Vehicle and Third-Party Liability
You must hold valid motor vehicle insurance that includes business/courier use. Personal motor insurance that excludes commercial delivery is not sufficient.
8.3 Public Liability
You are encouraged to maintain public liability insurance (minimum £1 million / equivalent). Vyete may require evidence of public liability cover for higher-value runs.
8.4 Evidence
Vyete may request insurance certificates at any time. Inability to provide current evidence of adequate insurance will result in immediate deactivation pending resolution.
9. Independent Contractor Status
You operate as an independent contractor, not an employee of Vyete. This means:
- You are responsible for your own tax filings, national insurance contributions, and compliance with applicable self-employment regulations.
- Vyete does not provide employment benefits (holiday pay, sick pay, pension).
- You are free to work with other platforms unless you have entered a specific exclusivity arrangement.
10. Conduct and Professional Standards
All Couriers must:
- Be courteous and professional in all interactions with shops, consumers, and brand representatives.
- Wear a Vyete-branded identification when handling brand-to-shop runs (ID card provided on activation).
- Not disclose customer personal data to third parties.
- Comply with all traffic laws and health-and-safety regulations.
- Report accidents, near-misses, or safety hazards via the Courier App immediately.
11. Data and Privacy
The Courier App collects your location data during active runs to enable real-time tracking. This data is:
- Shared with the consumer for delivery tracking purposes.
- Retained by Vyete for dispute resolution and performance analysis.
- Not shared with third parties except as required by law.

12. Deactivation
12.1 Voluntary Deactivation
You may deactivate your account at any time via the Courier App. Outstanding settlements will be paid in the next regular cycle.
12.2 Deactivation by Vyete
Vyete may deactivate your account immediately for:
- Criminal conviction related to courier activities.
- Theft, tampering with, or damage to consignments.
- Repeated performance standard failures.
- Providing false information during onboarding.
- Violation of Section 4.2 (Prohibited Conduct).
Deactivation does not affect entitlement to earnings already accrued for completed runs.
13. Governing Law
This Agreement is governed by the laws of Vyete's jurisdiction of registration.
14. Updates to This Agreement
Vyete will provide 14 days' notice of material changes via the Courier App. Continued acceptance of Run assignments after the effective date constitutes acceptance.
